This agreement is between Zimora Group LLC, a Pennsylvania limited liability company ("Zimora", "we", "us"), and the business that installs or uses Job Shop Office ("you", "your shop").
Please read it. It is short on purpose. If you do not agree with it, do not install the software, and tell us within the refund window in the Terms of Sale so we can refund you.
By installing Job Shop Office, or by clicking I agree when the application first starts, you accept this agreement. If you are accepting it for a company, you are confirming that you are allowed to commit that company to it.
Job Shop Office is sold to businesses, not to consumers. By accepting this agreement you confirm you are buying it for a business.
What you are getting
A license to install and use Job Shop Office on the number of Windows workstations your subscription covers, for as long as your subscription is active. We count machines rather than people — section 2 of the Terms of Sale says exactly what that means.
Job Shop Office is licensed, not sold. You own your files and your work. You do not own the software, and nothing here transfers ownership of it to you.
Your subscription — price, term, how many workstations, renewal, cancellation and refunds — is in the Terms of Sale. This agreement does not change any of that.
What you may do
- Install and run the software on up to the number of workstations your subscription covers.
- Use it for any commercial work your shop does, including work for your own customers.
- Make backup copies of the installer and of your own data.
- Move an activation from one workstation to another when you replace a machine. The application supports this. If it will not let you, write to [email protected] and we will clear the old activation.
- Keep and use every file the software saved or exported for you, forever, with no further payment. Output files are yours. There is no license condition on them, and no part of this agreement expires your right to use, send, sell or machine them.
What you may not do
- Share, publish, resell, sublicense or rent your license key, or use one subscription to serve more workstations than it covers.
- Reverse engineer, decompile or disassemble the software, except where Pennsylvania or federal law gives you that right and will not let us take it away by contract.
- Remove or hide copyright notices, license notices or version information.
- Resell the software itself, or offer it to other shops as a service.
- Use it to break the law, or to process files you are not allowed to have.
If you do one of these, we may suspend or end the license. We will tell you what we think happened and give you a fair chance to answer first, except where the problem is a published license key that is actively being used by strangers — we will turn that key off straight away and then contact you.
Ending the license never deletes your work. See section 7.
Your files stay yours
Job Shop Office is an installed Windows application. It processes your customer files on your own machine, and it does not copy them anywhere.
- Your drawings, models, part data, project names, customer names, outputs and project folders are yours. We claim no license to any of it.
- We do not receive them. The software does not send customer content out of your shop, and the license system is built so that it cannot: it carries your company identity, your entitlement, the application version, an activation identifier and the last validation time, and nothing else.
- Uninstalling the software never deletes your projects, your outputs or your backups.
- Ending a subscription never deletes them either. They stay where you saved them. The software will not open them again until a subscription is active (section 7).
The full detail is in the Privacy Policy, which is part of this agreement.
You are responsible for export-controlled and confidential files. Many shops handle drawings covered by an NDA, by ITAR or by the EAR. Because the software keeps those files on your machine, we never hold them, and we cannot and do not check them. Making sure you are allowed to possess and process a file is your responsibility, not ours.
What Job Shop Office does not promise about your parts
This is the most important section in this document. Read it even if you skip the rest.
Job Shop Office is an office tool. It is not a substitute for a competent person checking the work.
- Nothing the software produces is certified manufacturable. When the application says a file version is Ready for Job Shop Office tools, that means one thing only: it passed the geometry checks this product currently supports, against the tolerances you stated. It does not mean the part is machine-ready. It does not mean it is manufacturable. It does not mean it is correct, safe, to drawing, to print, to spec, or approved by anybody.
- We do not warrant the accuracy of any geometry, measurement, calculation, nest, conversion, repair or output. The software reads, cleans, converts, calculates and writes files. It can be wrong, and on a damaged or unusual input it will be wrong.
- Check every output before you cut, burn, bend, buy or quote from it. You are responsible for reviewing what the software produced, with the judgment of someone who knows the part and the process.
- We are not responsible for scrap, rework, missed delivery, a bad quote, a rejected part, machine damage or injury arising from relying on an output without checking it.
We say this because it is true, not to get out of anything. A geometry tool that claimed otherwise would be lying to you.
Features that do not exist yet
You are buying what the software does today.
Job Shop Office is a suite of office tools where shop work is entered once. Some tools are further along than others, and some are described on our website as coming soon. "Coming soon" is not a promise, not a delivery date and not part of what you are paying for. In particular, the AI quote, drawing and planning tool is not part of this product today, and Job Shop Office is not a one-click quote tool.
Do not buy a subscription for a feature that is not in the build you can install. If you need a feature that does not exist yet, ask us at [email protected] before you pay, and we will tell you plainly whether it is there.
If we add a feature during your subscription, you get it at no extra charge unless we say clearly in advance that it is a separate product.
Updates, and what happens when a subscription ends
Updates. The application checks for updates over a signed connection and tells you when one is available. Updates are included in your subscription. An update may change, improve or remove a feature; we will not quietly remove something you depend on without saying so in the release notes.
Offline. After a successful license validation the software stays fully usable with no network connection at all — 10 days. A shop floor that loses its internet connection does not lose its tools. Section 10 of the Terms of Sale explains the grace period, and what happens if it runs out.
When a subscription ends — because you cancelled, because it expired, or because payment stopped — the software stops. It will not open, edit or export anything until a subscription is active again.
- Your files stay on your computer, in the folders you chose. Nothing is deleted.
- Files you already exported, such as PDF and DXF, are ordinary files and open in any program that reads them.
- Subscribe again any time and pick up where you left off.
Ending a subscription never deletes, encrypts or hides your files. It only stops the software.
Third-party components
Job Shop Office includes open-source components, each under its own license. Their licenses are included with the application and listed in the product documentation. Nothing in this agreement takes away a right one of those licenses gives you.
Our promises, and their limits
What we do promise. For 30 days after you first pay, we promise the software will materially do what our documentation says it does. If it does not, tell us at [email protected]. We will fix it, or refund you under the Terms of Sale. That is the whole remedy.
What we do not promise. Except for the promise just above, and to the extent the law allows us to say so, the software is provided "as is". We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise the software is error-free, that it will run without interruption, that it will read every file you have, or that it will suit your particular shop.
Limit on what we owe you. To the extent the law allows:
- We are not liable for lost profits, lost business, lost or wrecked material, scrap, rework, downtime, missed delivery, loss of data, or any indirect, incidental, special, consequential or punitive damages, even if we were told they were possible.
- Our total liability for everything arising out of this agreement is limited to the amount you actually paid us for Job Shop Office in the 12 months before the claim.
Where that limit does not apply. Nothing here limits liability we are not allowed to limit — including our own fraud, our own intentional misconduct, or anything else the law says cannot be excluded. Some states do not allow the exclusion of implied warranties or of incidental or consequential damages, so some of the words above may not apply to you, and you may have other rights.
We stand behind our own IP. If someone claims that Job Shop Office itself infringes their intellectual property, that is our problem to deal with, not yours. Tell us promptly and we will defend it at our expense and pay any resulting settlement or judgment, provided you let us handle it and cooperate. This does not cover a claim caused by your files, by your use of the software in a way this agreement does not permit, or by a version we asked you to stop using.
Term and termination
This agreement runs for as long as your subscription runs, and the sections that have to survive — sections 4, 5, 8, 9, 10 and 11 — survive it ending.
- You can end it any time by cancelling your subscription and uninstalling the software. Cancellation is in the Terms of Sale.
- We can end it if you break section 3 and do not fix it within 30 days of us telling you, or straight away if your license key has been published.
- If we discontinue Job Shop Office entirely, we will tell you at least 90 days in advance, refund the unused part of any term you have paid for, and leave the software in read-and-export mode so you keep access to your work.
The legal bits
- Governing law. Pennsylvania law governs this agreement, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Where disputes go. The state and federal courts serving Schuylkill County, Pennsylvania. You and we both agree to those courts and give up any objection that they are an inconvenient place to be sued.
- Talk to us first. Before either of us files anything, we each agree to put the problem in writing to the other and to spend 30 days genuinely trying to sort it out. Writing to [email protected] is enough to start that clock.
- Where we are sold. Job Shop Office is currently sold only to businesses in the United States and Canada. We do not offer it elsewhere, and we do not accept orders from outside that territory.
- Changes to this agreement. We may update it. If a change materially reduces your rights, we will tell you at least 30 days before your next renewal, and the change applies from that renewal — never retroactively, and never in the middle of a term you have already paid for. If you do not accept it, cancel before the renewal and we will not charge you.
- Assignment. You may transfer this agreement to a buyer of your business if you tell us. We may transfer it to a buyer of ours. Otherwise neither of us assigns it without the other's written consent.
- The whole deal. This agreement, the Terms of Sale and the Privacy Policy are the entire agreement between us about Job Shop Office. If they conflict, the Terms of Sale win on price, billing, trial, renewal, cancellation and refunds, and this agreement wins on everything else. Nothing a salesperson, a web page or an email said overrides them.
- Severability. If a court strikes out part of this agreement, the rest still stands.
- No waiver. If we do not enforce something straight away, we have not given up the right to enforce it later.
- US Government users. The software is commercial computer software. Any use by or for the US Government is governed by this agreement, and no greater rights are granted.
